1. Acceptance of Terms

By accessing or using Voksha's AI receptionist service ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Voksha ("Company," "we," "us," or "our"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Voksha provides an AI-powered phone receptionist service designed for small businesses. Our Service includes:

• 24/7 automated call answering and handling
• Appointment scheduling and calendar management
• Lead capture and customer information collection
• Call transcription and summary generation
• Integration with third-party calendars and CRM systems
• Customizable greetings and call flows

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Notify us immediately at support@voksha.com of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account and use the Service.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Transmit spam, unsolicited communications, or harassing messages
• Use the Service to conduct robocalling or automated telemarketing in violation of applicable laws
• Attempt to interfere with, compromise, or disrupt the Service or its servers
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service in any way that violates applicable federal, state, local, or international laws
• Collect or harvest personal information of callers for purposes unrelated to your business

5. Pricing, Payment, and Billing

By subscribing to the Service, you agree to the following payment terms:

• Subscription Fees: The current subscription fee is $49/month for the standard plan, which includes 500 minutes of call time
• Billing Cycle: Fees are billed monthly in advance on your subscription date
• Overage Charges: If you exceed your plan's included minutes, additional charges of $0.15 per minute will apply
• Payment Method: You must provide a valid payment method. We accept major credit cards and ACH transfers
• Price Changes: We reserve the right to change our pricing with 30 days' written notice
• Taxes: All fees are exclusive of applicable taxes, which will be added to your invoice

6. Call Recording and Consent

As part of the Service, Voksha records and transcribes calls. By using the Service:

• You represent that you have reviewed and understand call recording laws in your jurisdiction
• You agree to obtain all necessary consents from callers before using our recording features
• You acknowledge that you are solely responsible for compliance with all applicable call recording laws, including one-party and two-party consent requirements
• You agree to configure appropriate disclosure messages informing callers that calls may be recorded
• Voksha is not liable for any claims arising from your failure to obtain proper consent

7. Telephone Consumer Protection Act (TCPA) Compliance

You are solely responsible for ensuring your use of the Service complies with the Telephone Consumer Protection Act (TCPA) and all other applicable telecommunications regulations. You agree not to use the Service for any unsolicited marketing calls or in any manner that would violate the TCPA or similar laws. Voksha reserves the right to suspend or terminate accounts that violate these regulations.

8. Service Availability and Uptime

We strive to maintain 99.9% service uptime. However:

• The Service may be temporarily unavailable due to scheduled maintenance, updates, or upgrades
• We will make reasonable efforts to notify you of planned maintenance in advance
• The Service may experience interruptions due to circumstances beyond our control, including but not limited to telecommunications failures, power outages, natural disasters, or cyber attacks
• We do not guarantee uninterrupted or error-free operation of the Service

9. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Voksha and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, create derivative works, publicly display, publicly perform, republish, or transmit any material from the Service without prior written consent. "Voksha" and the Voksha logo are trademarks of Voksha.

10. AI Service Disclaimer

You acknowledge and agree that:

• The Service uses artificial intelligence technology that may occasionally produce errors or inaccuracies
• The AI may misunderstand callers, provide incomplete information, or fail to properly route calls
• You are responsible for reviewing call summaries, transcripts, and captured information for accuracy
• Voksha does not guarantee the accuracy of any information provided by the AI
• You should follow up with customers as appropriate to verify important details
• The AI is not a substitute for human judgment in complex or sensitive situations

11. Data Ownership and License

You retain ownership of all data you provide to the Service and all data collected through your use of the Service (including call recordings, transcripts, and customer information). You grant Voksha a limited, non-exclusive license to process this data solely to provide the Service and to improve our AI models using anonymized and aggregated data. This license terminates when you delete your account.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• VOKSHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY MISSED CALLS, FAILED CONNECTIONS, OR SYSTEM FAILURES THAT MAY RESULT IN LOST BUSINESS
• WE ARE NOT LIABLE FOR ANY ACTIONS TAKEN BY CALLERS BASED ON INFORMATION PROVIDED BY THE AI

13. Indemnification

You agree to indemnify, defend, and hold harmless Voksha and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; (d) your failure to obtain required consents for call recording; or (e) any claim that your use of the Service infringes the rights of any third party.

14. Termination

Either party may terminate this agreement:

• By You: You may cancel your subscription at any time through your account settings or by contacting support@voksha.com
• By Us: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion
• Effect of Termination: Upon termination, your right to use the Service will immediately cease. You will receive a pro-rated refund for any unused portion of your current billing period
• Data Retention: We will retain your data for 30 days after termination, after which it will be permanently deleted unless otherwise required by law

15. Dispute Resolution and Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, USA. You agree to waive any right to a jury trial or to participate in a class action. This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by sending an email to the address associated with your account or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Voksha regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
